The contract that governs use of FreelanceStudio.
Terms of Service
These Terms of Service ("Terms") govern your access to and use of FreelanceStudio on freelancestudio.pro. FreelanceStudio ("FreelanceStudio", "we", "us", or "our") provides the service.
By creating an account, accessing, or using FreelanceStudio, you agree to these Terms. If you do not agree, you must not use the service.
1. Eligibility and Account Use
You may use FreelanceStudio only if you can form a binding contract under applicable law. You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your credentials.
You agree to provide accurate information, keep account details current, and notify us promptly at legal@freelancestudio.pro if you believe your account has been compromised.
2. The Service
FreelanceStudio is a software service that helps freelancers and studios manage client work, including client profiles, project operations, milestones, deliverables, invoices, agreements, shared portals, and related records.
We may modify, improve, suspend, or discontinue features from time to time. We will use reasonable efforts to provide notice for material adverse changes, except where immediate changes are required for security, legal compliance, or operational stability.
3. Acceptable Conduct
You may not use FreelanceStudio to:
- violate any applicable law or regulation;
- infringe another person’s intellectual property, privacy, or other rights;
- distribute malware, spam, deceptive content, or harmful code;
- interfere with the security, stability, or availability of the service;
- access data, systems, or accounts without authorization;
- use the service for abusive, fraudulent, or misleading commercial activity.
Your use of the service is also subject to our Acceptable Use Policy.
4. Customer Content
You retain ownership of the information, documents, text, images, files, communications, and other materials you upload to or create within FreelanceStudio ("Customer Content").
You grant us a limited, non-exclusive, worldwide license to host, store, process, transmit, reproduce, and display Customer Content solely as necessary to operate, secure, improve, and support FreelanceStudio.
You represent that you have all rights necessary to upload and use Customer Content through the service.
5. Privacy and Data Handling
Our Privacy Policy explains how we collect, use, and protect personal data in connection with FreelanceStudio. By using the service, you acknowledge that personal information is handled in accordance with that policy.
6. Fees and Billing
Paid access requires an active subscription unless we explicitly offer a free access path. You agree to pay all fees, taxes, and charges associated with your selected plan.
Unless otherwise stated in writing:
- fees are billed in advance;
- subscription renewals are automatic until cancelled;
- payments are non-refundable except where required by law or expressly stated in a written refund policy;
- you authorize us and our payment processors (including Stripe) to charge your selected payment method.
Promotions, coupon codes, and credits may be limited, revoked, or refused in cases of abuse, misuse, or error.
We may change pricing on a prospective basis with reasonable notice.
7. Subscription Access, Suspension, and Cancellation
You can cancel your subscription at any time through your billing settings or by contacting support. Cancellation stops future renewals but does not retroactively refund already billed periods unless required by law.
We may suspend or restrict paid access if billing fails, chargebacks occur, fraud is suspected, or account activity presents legal or security risk.
8. Client Portals, Shared Links, and Exports
You are responsible for all portal links, shared pages, and exported documents generated from your account.
You must not share confidential or restricted content with unauthorized recipients. Anyone with an active shared link may be able to view content permitted by that link, and you are responsible for link distribution and lifecycle management.
9. Intellectual Property
FreelanceStudio, including software, design, branding, features, and underlying technology, is owned by FreelanceStudio or its licensors and is protected by applicable intellectual property laws.
Except for the limited right to use the service under these Terms, no rights are granted to you by implication or otherwise.
10. Feedback
If you provide suggestions, ideas, or feedback about FreelanceStudio, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use that feedback for any lawful purpose without restriction or compensation.
11. Third-Party Services
FreelanceStudio may integrate with or rely on third-party services, including payment, authentication, email, hosting, and infrastructure providers. We are not responsible for third-party service availability, content, or practices, and your use of those services may be governed by separate terms.
12. Suspension and Termination
We may suspend or terminate your access to FreelanceStudio if:
- you breach these Terms or the Acceptable Use Policy;
- your use creates security, legal, or operational risk;
- we are required to do so by law;
- you fail to pay applicable fees when due.
You may stop using the service at any time. Sections that by their nature should survive termination will survive, including provisions on intellectual property, disclaimers, limitations of liability, indemnity, and dispute resolution.
13. Disclaimers
FreelanceStudio is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted availability.
We do not warrant that the service will be error-free, secure, or available at all times.
14. Limitation of Liability
To the fullest extent permitted by law, FreelanceStudio and its directors, officers, employees, affiliates, and service providers are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, goodwill, use, data, or business opportunities arising out of or related to your use of FreelanceStudio.
To the fullest extent permitted by law, the total aggregate liability of FreelanceStudio arising out of or related to the service or these Terms will not exceed the greater of:
- the amounts you paid to FreelanceStudio for FreelanceStudio in the twelve months before the event giving rise to the claim; or
- one hundred United States dollars (USD 100), if you have not made any payments.
15. Indemnity
You agree to defend, indemnify, and hold harmless FreelanceStudio from and against claims, liabilities, damages, losses, and expenses arising out of or related to:
- your use of FreelanceStudio;
- your Customer Content;
- your violation of these Terms, the Acceptable Use Policy, or applicable law;
- your infringement of any rights of another person or entity.
16. Governing Law and Disputes
These Terms are governed by the laws of Kenya, without regard to conflict of law principles. You agree that disputes arising from or relating to these Terms or FreelanceStudio will be subject to the courts of competent jurisdiction in Kenya, unless applicable law requires otherwise.
17. Changes to These Terms
We may update these Terms from time to time. Updated versions will be posted on freelancestudio.pro. Your continued use of FreelanceStudio after changes become effective constitutes acceptance of the updated Terms.
